Complete Guide to RIICO Industrial Plot Transfer & Title Due Diligence (2026)
EXECUTIVE SUMMARY

Comprehensive legal & procedural checklist for purchasing secondary market RIICO leasehold plots in Bhiwadi, Khushkhera, Chopanki, Tapukara, and Salarpur without inheriting title disputes or unpaid cess.

Understanding RIICO Industrial Land Transfer in Rajasthan

Acquiring an industrial plot in Rajasthan through resale or lease transfer requires strict adherence to the regulatory framework established by the Rajasthan State Industrial Development and Investment Corporation (RIICO). Unlike standard freehold agricultural or residential land, RIICO plots are held on a strict 99-year leasehold basis with legally binding development covenants, prescribed building setbacks, and industrial production milestones.

1. Crucial Pre-Transfer Verification Checkpoints

Before signing any agreement to sell, issuing advance tokens, or committing capital, buyers must verify four vital records:

  • Original Allotment Letter & Registered 99-Year Lease Deed: Ensure the registered lease deed is executed in favour of the current legal seller and stamped at the Sub-Registrar office. Verify there are no subsequent mortgage deeds or bank liens unreleased.
  • No Dues Certificate (NDC): Request a fresh, system-generated NDC from the concerned Senior Regional Manager (SRM) or Regional Manager (RM) office. This verifies:
  • 1. Economic rent (annual ground rent) is fully paid.
    2. Industrial maintenance & road lighting cess is zero-balance.
    3. Water consumption & sewerage connection dues are fully cleared.
  • Time Extension & Construction Status: Under RIICO Disposal of Land Rules, an allottee must construct a minimum of 20% to 30% of the permissible floor area and commence commercial production within 2 to 3 years of allotment. If the plot is vacant and the initial period has expired, check if time extensions have been officially granted or if restoration / retention penalties apply.
  • Pollution Control Zoning & Activity Compatibility: Confirm that your intended manufacturing activity (Red, Orange, Green, or White category) is legally permitted in that specific RIICO phase. For instance, chemical dye units cannot be setup in auto-cluster engineering zones.

  • 2. Documentation Required for Transfer Permission

Once due diligence is satisfactory, an official application for Transfer of Leasehold Rights is submitted to the RIICO Unit Office:

    1. Form-A Transfer Application: Signed jointly by the Transferor (Seller) and Transferee (Buyer).
    2. Certified Copy of Registered Lease Deed: Certified by the Sub-Registrar office.
    3. Audited Financials / Net Worth Certificate: Transferee’s 3-year balance sheets and CA net worth certificate proving financial capability to operate the manufacturing plant.
    4. Detailed Project Report (DPR): Outlining the manufacturing process, proposed plant & machinery investment, connected power load (KVA), daily industrial water demand, and anticipated local employment.
    5. No Dues & Non-Encumbrance Affidavits: Affidavits confirming no court injunction, bank hypothecation, or labour dispute on the asset.

    3. Transfer Charges & Sub-Registrar Registration

  • RIICO Transfer Charges: RIICO levies a transfer fee (calculated per sq. meter based on the current prevailing allotment rate or a flat percentage depending on whether the plot is vacant, partially constructed, or an operating factory).
  • Transfer Permission Letter: Once fees are deposited and verified, RIICO issues an official Permission to Transfer.
  • Registered Transfer Deed: The parties execute the Transfer Deed before the Sub-Registrar, paying the applicable Rajasthan Stamp Duty and Registration fees.
  • Final Title Mutation: The registered Transfer Deed is submitted back to RIICO for endorsement on the original records and issuance of the final Mutation Certificate in the buyer’s name.
